1. DEFINITIONS

As used in these Terms and Conditions, the following definitions apply:

• "Certified Product" means any repack, mystery box, mylar bag, or premium box produced, assembled, sealed, or certified by Enigma Trading Co. bearing our branding, certification mark, checklist, or packaging.
• "Checklist" means the official list of sports cards and memorabilia items verified by Enigma Trading Co. as included in a specific Certified Product.
• "Whatnot Certification" means the certification granted to Enigma Trading Co. by Whatnot, Inc. authorizing the sale of mystery/repack products on the Whatnot platform under Enigma Trading Co.'s certified seller status.
• "Buyer" means any individual, business, or entity that purchases wholesale product from Enigma Trading Co.
• "Reseller" means any Buyer who resells Certified Product to end consumers, including but not limited to live streamers, Breakers, hobby shops, and online marketplace sellers.
• "Repackaging" means the act of opening, altering, modifying, substituting contents of, or resealing any Certified Product.
• "Breaker" means an individual or entity that opens Certified Product on live video platforms including but not limited to Whatnot, TikTok, YouTube, Facebook Live, or Loupe.

2. WHOLESALE PURCHASE TERMS

2.1 Eligibility

Wholesale accounts are available to verified business entities and individuals who agree to these Terms. Enigma Trading Co. reserves the right to approve, deny, or terminate any wholesale account at its sole discretion.

2.2 Orders and Payment

• All wholesale orders must be placed through approved channels designated by Enigma Trading Co.
• Payment terms are [ Net 0 / Net 15 / Net 30 — insert your terms ] unless otherwise agreed in writing.
• Enigma Trading Co. reserves the right to require payment in full prior to shipment for new accounts or accounts with outstanding balances.
• All prices are subject to change without notice. Confirmed orders are invoiced at the price in effect at time of order confirmation.

2.3 Shipping and Risk of Loss

• Risk of loss passes to Buyer upon delivery to the carrier or upon Buyer's pickup from our facility.
• Enigma Trading Co. is not responsible for loss, theft, or damage occurring after delivery to the carrier.
• Shipping costs are the responsibility of the Buyer unless otherwise agreed in writing.

2.4 Returns and Refunds

• All wholesale sales are final unless product arrives damaged or is materially different from what was ordered.
• Claims for damaged or incorrect shipments must be reported within 48 hours of receipt with photographic evidence.
• Enigma Trading Co. does not accept returns of opened product under any circumstances.

3. CERTIFIED PRODUCT — PROHIBITED CONDUCT

3.1 Strict Prohibition on Repackaging

The following acts are STRICTLY PROHIBITED and constitute a material breach of these Terms:

1. Opening any sealed Certified Product for any purpose other than final consumer use.
2. Removing, replacing, substituting, adding to, or altering the contents of any Certified Product in any way.
3. Resealing, heat-sealing, shrink-wrapping, taping, or otherwise closing any previously opened Certified Product and presenting it as original sealed product.
4. Inserting cards, memorabilia, or any other items into Enigma Trading Co. packaging that were not placed there by Enigma Trading Co.
5. Using Enigma Trading Co. packaging, boxes, mylar bags, labels, or certification materials to package cards or products not certified by Enigma Trading Co.
6. Representing any altered, repackaged, or modified product as an official Enigma Trading Co. Certified Product.
7. Selling, offering for sale, or streaming the opening of any product you know or have reason to believe has been tampered with or does not match the official Enigma Trading Co. Checklist.

3.2 Certification Mark and Branding

Enigma Trading Co.'s name, logo, certification marks, and packaging are proprietary. You may not:

• Use our branding or certification marks on any product not certified by us.
• Represent your own repack products as Enigma Trading Co. certified.
• Create, print, or reproduce our packaging, labels, or certification materials.
• Imply any endorsement, partnership, or certification by Enigma Trading Co. that does not exist in writing.

3.3 Platform Compliance

Buyers who sell our Certified Product on Whatnot or any other platform agree to:

• Comply with all platform terms of service applicable to repack and mystery box products.
• Accurately represent the product as Enigma Trading Co. certified and unaltered.
• Not take any action that would jeopardize Enigma Trading Co.'s seller certification on any platform.
• Immediately notify Enigma Trading Co. if you become aware of any tampering, substitution, or fraud involving our product.

4. CERTIFICATION SERVICES — ADDITIONAL TERMS

Clients who engage Enigma Trading Co. to provide repackaging and sealing certification services for client-sourced cards agree to the following additional terms:

4.1 Client Responsibilities

• Client is solely responsible for the legality, authenticity, and ownership of all cards and memorabilia submitted for certification.
• Client warrants that all submitted items are genuine, legally obtained, and free from any third-party claims.
• Client agrees that Enigma Trading Co. is not responsible for verifying the authenticity or grading of client-submitted cards.
• Client must provide accurate product manifests for all submitted inventory.

4.2 Turnaround and Liability

• Turnaround times are estimates only and are not guaranteed.
• Enigma Trading Co.'s liability for loss or damage to client-submitted cards is limited to the documented wholesale value of the lost or damaged item(s), not to exceed $5000
• Client is encouraged to insure high-value submissions independently.

4.3 Certification Scope

• Certified product produced under our certification services is certified for the specific platform and checklist agreed upon at time of order.
• Client may not represent certified product as meeting any certification standard beyond what Enigma Trading Co. has explicitly agreed to in writing.

5. CONSEQUENCES OF VIOLATION

In the event of any violation of Section 3 or any other material breach of these Terms, Enigma Trading Co. reserves the right to pursue any or all of the following remedies:

8. Immediate termination of Buyer's wholesale account without notice or refund.
9. Reporting of the violation to Whatnot, Inc. and any other applicable platform, marketplace, or industry body.
10. Demand for return or destruction of all remaining Enigma Trading Co. inventory held by Buyer.
11. Civil legal action for damages, including but not limited to: lost profits, damage to business reputation, loss of certification standing, costs of remediation, and attorneys' fees.
12. Injunctive relief to stop ongoing violations.
13. Referral to appropriate law enforcement authorities in cases involving fraud or consumer deception.

Enigma Trading Co. will actively monitor live streams and marketplace listings. Evidence of violations will be documented and preserved for legal proceedings.

6. INTELLECTUAL PROPERTY

All branding, logos, packaging designs, trade names, certification marks, and proprietary processes of Enigma Trading Co. are the exclusive intellectual property of Enigma Trading Co. Nothing in these Terms grants Buyer any license, right, or interest in our intellectual property beyond what is explicitly stated herein. Unauthorized use of our intellectual property is prohibited and may result in legal action.

7. INDEMNIFICATION

Buyer agrees to indemnify, defend, and hold harmless Enigma Trading Co., its owners, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Buyer's breach of these Terms; (b) Buyer's misrepresentation of product to end consumers; (c) Buyer's unauthorized repackaging, alteration, or use of Certified Product; or (d) any claim by an end consumer related to product altered by Buyer.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENIGMA REPACK CO. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SALE OF PRODUCT HEREUNDER. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY BUYER FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

9. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall first be submitted to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in [ City, Texas ] under the rules of the American Arbitration Association. Notwithstanding the foregoing, Enigma Trading Co. reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction.

10. MODIFICATIONS TO THESE TERMS

Enigma Trading Co. reserves the right to modify these Terms at any time. Updated Terms will be posted on our website at www.ripenigma.com with the revised effective date. Continued purchase or use of our product after the effective date of any modification constitutes acceptance of the revised Terms. It is Buyer's responsibility to review these Terms periodically.

11. ENTIRE AGREEMENT

These Terms, together with any signed wholesale account agreement or certification services agreement, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
